Terms of Service

1. Acceptance of terms
By accessing or using the Vibe Works Studio LLC ("Vibe Works Studio," "we," "us," or "our") website, submitting a proposal request, or using the client dashboard (together, the "Services"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Services.
2. Description of services
Vibe Works Studio is a web and app development studio. Our website allows visitors to request project proposals, and allows existing clients to view their project, communicate with us, and complete final payment for delivered work.
3. Accounts
Client dashboard accounts are created by us on your behalf. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at jeremy@vibeworksstudio.com if you suspect unauthorized access.
4. Proposal requests
Submitting the proposal request form is an inquiry, not a contract. No fees are owed, and no work begins, until both parties sign a separate Client Service Agreement describing the scope, price, and timeline of the project.
5. Payments and final agreement
For active projects, once you indicate through the client dashboard that you agree the delivered work is final, we will issue a final invoice describing the work performed and the amount due. Clicking to agree is treated as your acceptance of the delivered work as final, and initiates your obligation to pay the invoiced amount. Payments are processed securely through Stripe; see our Refund & Cancellation Policy for details on refunds.
6. Intellectual property
All content on this website — including our logo, design, and text — is owned by Vibe Works Studio or its licensors and may not be copied or used without permission. Ownership of custom code and deliverables created for a specific client project is governed by that project's Client Service Agreement, not by these Terms.
7. Acceptable use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law.
- Attempt to gain unauthorized access to any account, system, or network connected to the Services.
- Interfere with or disrupt the Services or servers.
- Upload malicious code or content that infringes another party's rights.
8. Disclaimer of warranties
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, Vibe Works Studio LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Services. Our total liability for any claim arising from these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Vibe Works Studio LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Services.
11. Termination
We may suspend or terminate your access to the client dashboard at any time, with or without cause, including for suspected violation of these Terms. Termination of website access does not affect the terms of any separately signed Client Service Agreement.
12. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of those courts.
13. Changes to these terms
We may update these Terms from time to time. The "Effective date" at the top will reflect the most recent revision. Continued use of the Services after a change means you accept the updated Terms.
